Terms of service
These terms are the agreement between you and Slowfast LLC, which runs liquidMath (“liquidMath”, “we”, “us”). They cover the liquidMath app, this website and its free tools, and the liquidMath app for Shopify. By creating an account or using liquidMath, you agree to them. If you use it for a business, you agree for that business and confirm you’re allowed to.
1. Who can use liquidMath
liquidMath is for businesses, and for people of at least 18 who make and sell products. Give accurate details when you sign up and keep them up to date.
2. What liquidMath is, and isn’t
liquidMath is software for recording formulas, materials, batches and stock, and for working out quantities, costs, prices, projections and orders from the figures you give it. It is a calculator and a record. It isn’t a formulator, chemist, toxicologist, safety assessor, testing laboratory, regulatory consultant, accountant or lawyer, and nothing it shows is professional advice.
3. Your formulas and products are your responsibility
What you make with liquidMath’s help is yours, and so is the responsibility for it. You alone decide, and are responsible for:
- every formula, ingredient, amount, process and product you make, sell or give away, whether or not liquidMath worked any of it out;
- its safety: ingredient limits and restrictions, stability, compatibility and preservative testing, microbiological limits, safety assessments, and anything else a safe product needs;
- following the law wherever your products are made or sold: registration, product listing, good manufacturing practice, safety substantiation, labels and ingredient lists, claims, warnings, records, adverse event reports and recalls (for example the FDA’s rules and MoCRA in the United States, or the EU Cosmetics Regulation);
- checking every figure before you rely on it: weights, percentages, densities, conversions, costs, prices, stock and order quantities.
We don’t review, test, approve or endorse any formula or product, and we take no part in making, labeling, marketing or selling it. To the fullest extent the law allows, we aren’t responsible for any injury, illness, reaction or other harm to anyone, property damage, recall, regulatory action, lost sales or other loss connected with any formula or product, and you’ll cover us for claims about them (see Indemnity).
4. Calculations, reference data and the free calculator
liquidMath’s results are only as good as what’s entered, and software can be wrong. In particular:
- Figures marked ≈ are estimates, for example where an ingredient’s density isn’t known and a typical one is used.
- The ingredient library’s values, such as densities and INCI names, come from published sources. They’re general reference values: they may contain errors and may differ from the material you buy. Your supplier’s specification and certificate of analysis come first.
- Costs, margins, projections, reorder points and suggested orders are estimates for planning, not financial, tax or accounting advice.
- The formula calculator on this website is free, offered as is, under these terms.
If a figure looks wrong, tell us at support@liquidmath.com.
5. Your account and organization
You’re responsible for your sign-in and everything done with it. Sign-in codes go to your email, so keep that account secure. An organization’s owners decide who joins it and what each member can do, and are responsible for their members’ use of liquidMath. If you think someone has got into your account, tell us at once at support@liquidmath.com.
6. Your data
Everything your organization puts into liquidMath stays yours: formulas, records, files and the rest. You let us store, process, copy and display it only as needed to run, secure and support liquidMath for you, and as our Privacy Policy describes. We don’t sell it, and we don’t share your formulas with anyone else.
You’re responsible for having the right to upload what you upload, including your suppliers’ details and documents. We keep backups, but keep your own copies of anything you can’t afford to lose: reports, stock movements and lot traces export as CSV files. If you send us ideas or feedback, we may use them without owing you anything.
7. Acceptable use
Don’t:
- break the law with liquidMath, or use it for products that are illegal where they’re sold;
- try to reach other organizations’ data or our systems, or test our security without our written permission;
- copy, resell or reverse engineer liquidMath, or scrape it or its ingredient library;
- upload malware, or anything you don’t have the right to share;
- overload or disrupt the service.
8. Shopify and other services
liquidMath works with services we don’t control, including Shopify, Stripe for payments, Clerk for sign-in and Google if you sign in with Google. Their own terms apply to your use of them.
When you connect a Shopify shop, you let liquidMath read its products, orders, refunds, fulfillments, inventory and locations, and change the inventory levels of the products you choose to sync. Your shop’s stock and listings are your responsibility: check them, especially when you first turn sync on. We aren’t responsible for oversold or unsold stock, wrong quantities in another service, or changes and outages on their side, and an integration may change or stop when the other service changes.
9. Trial, plans and payment
- Trial. A new organization gets a 14-day trial without a card. When it ends, the organization becomes read-only until you subscribe. If you subscribe during the trial, your first payment is taken when it ends, or at once if you subscribe within about two days of its end.
- Subscriptions are billed in advance, monthly or yearly, through Stripe, at the prices on our Pricing page plus any tax. They renew automatically at the end of each period until you cancel.
- Cancel any time in Settings, Billing, Manage billing. Cancelling stops the next renewal, and you keep access until the end of the period you’ve paid for.
- Changing plans. An upgrade, or a switch to yearly billing, starts at once and is charged now for the rest of the period, less the time you haven’t used. A downgrade, or a switch to monthly billing, starts at the end of the current period.
- No refunds for part of a period or unused time, unless the law requires one.
- Price changes are emailed to you at least 30 days before they apply, and take effect from your next renewal.
- Failed payments. If a payment fails, Stripe tries again. If it still can’t be collected, the subscription ends and the organization becomes read-only.
- Read-only means you can still sign in, see and export your records, but not add or change them until you subscribe.
- Taxes. Prices don’t include taxes; you pay them where they apply.
10. Availability and changes to liquidMath
We work to keep liquidMath running and your data safe, but we don’t promise it will always be available, uninterrupted or free of errors. We may change, add or remove features. If a change takes away something you rely on in a significant way, we’ll tell you in advance where we reasonably can.
11. Ending
You can stop using liquidMath and cancel any time. To close your organization and delete its data, email support@liquidmath.com from an owner’s address.
We may suspend or end your access if you break these terms, don’t pay, put liquidMath or other people at risk, or the law requires it. Where we reasonably can, we’ll warn you first and give you a chance to export your data. A closed organization’s data is deleted as our Privacy Policy describes. The parts of these terms meant to last survive: your responsibility for your formulas and products, the calculations section, the disclaimers, the limits on our liability, indemnity, and governing law.
12. Disclaimers
liquidMath, its ingredient library and every calculation are provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We don’t warrant that any result is correct, or that any formula or product made with liquidMath is safe, effective, stable or lawful.
13. Limits on our liability
To the fullest extent the law allows:
- we aren’t liable for indirect, incidental, special, consequential, exemplary or punitive damages; for lost profits, revenue, data, goodwill or business; or for product liability, recalls or regulatory costs, even if we were told they were possible;
- our total liability for all claims about liquidMath or these terms is limited to the greater of what you paid us in the 12 months before the claim arose and US$100.
Some places don’t allow some of these limits; there, they apply as far as the law allows.
14. Indemnity
You’ll defend and indemnify Slowfast LLC and its owners, employees and contractors against any claims, losses, damages, fines, costs and expenses, including reasonable legal fees, that arise from your formulas or products, your data, your use of liquidMath in breach of these terms, or your breaking any law or anyone’s rights.
15. Governing law and disputes
These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. If a dispute comes up, email us first at support@liquidmath.com, and we’ll both try to settle it informally within 30 days. If that fails, it goes to the state or federal courts in Los Angeles County, California, and we both agree to their jurisdiction.
16. Changes to these terms
We may update these terms. We’ll post the new version here with its date and, for a change that matters, tell you by email or in the app at least 14 days before it applies. If you keep using liquidMath after that, the new terms apply; if you don’t agree, cancel before they take effect.
17. General
These terms and our Privacy Policy are the whole agreement between us about liquidMath. If a court finds part of them unenforceable, the rest still applies. Not enforcing a term isn’t a waiver of it. You can’t transfer these terms without our written agreement; we may transfer them with our business, for example in a merger or sale. Neither of us is responsible for delays caused by events beyond reasonable control. We send notices to your account’s email address; send yours to support@liquidmath.com.
